Carrier Partner Agreement

This agreement is between ParcelGH (the Platform) and the Carrier (the transport company applying to list services on the platform). By submitting an application and operating on the platform, the Carrier agrees to all terms below.

1Definitions

Platform means the ParcelGH web application and associated services at parcelgh.com.

Carrier means the transport company, airline, or logistics provider listed on the Platform.

Booking means a confirmed parcel shipment request made by a Customer through the Platform.

Customer means the individual or business sending a parcel via the Platform.

Transport Fee means the fee charged by the Carrier for transporting a parcel on a given route.

Commission means ParcelGH's fee, calculated as a percentage of the Transport Fee.

Service Charge means the flat fee charged by ParcelGH directly to Customers, separate from the Transport Fee.

2Platform Services

ParcelGH provides the Carrier with access to:

  • A digital booking system for receiving and managing parcel bookings online
  • Customer-facing route listings showing the Carrier's routes, prices, and departure times
  • Real-time parcel tracking infrastructure accessible to Customers
  • Booking confirmation, digital labels, and OTP-based collection verification
  • A monthly commission invoice summarising all paid bookings
  • Customer support coordination for parcel-related inquiries

ParcelGH does not guarantee any minimum number of bookings.

3Commission & Fees

Commission Rate5% of the Transport Fee per booking
Service ChargeGHC 12.00 flat fee per booking (collected by ParcelGH, not shared)
Parcel InsuranceGHC 15.00 per booking if opted in by Customer (retained by ParcelGH)
Carrier Earnings95% of the Transport Fee per paid booking

The Carrier keeps 95% of the Transport Fee for every successfully paid booking. The Service Charge (GHC 12) and any insurance fees are collected by ParcelGH and are not included in the Carrier's earnings.

ParcelGH reserves the right to revise commission rates with 30 days written notice to the Carrier.

4Payment Terms

ParcelGH will issue a monthly invoice to the Carrier by the 5th business day of each month, covering all paid bookings from the previous calendar month.

The invoice will detail: booking reference, route, transport fee, commission deducted, and net amount owed to the Carrier.

Payment to the Carrier will be made by bank transfer or Mobile Money within 7 business days of invoice issuance, subject to any outstanding disputes.

Cash on Delivery (COD) bookings will only be settled after confirmed collection from the Carrier.

5Carrier Obligations

The Carrier agrees to:

  • Operate all listed routes on the advertised schedule and departure times
  • Handle all parcels with reasonable care to prevent damage or loss
  • Collect parcels only against valid OTP verification via the ParcelGH system
  • Update parcel status (In Transit, Delivered, etc.) within the platform promptly
  • Maintain accurate route information, pricing, and departure schedules on the platform
  • Notify ParcelGH at least 24 hours in advance of any route suspension or schedule change
  • Not solicit Customers introduced through the Platform to book directly outside the Platform
  • Comply with all applicable Ghanaian transport laws and regulations
  • Refuse to transport items classified as prohibited under Section 7

6ParcelGH Obligations

ParcelGH agrees to:

  • Maintain the Platform and booking system with reasonable availability
  • Process Customer payments and disburse Carrier earnings on schedule
  • Provide the Carrier with access to booking data and status tools
  • Handle Customer inquiries related to platform operations and payments
  • Provide reasonable notice of any material changes to platform features or terms
  • Protect Carrier data in accordance with applicable data protection laws

7Prohibited Items

The Carrier must refuse to transport and ParcelGH will reject bookings containing:

  • Illegal drugs and controlled substances
  • Explosives, flammables, and hazardous chemicals
  • Counterfeit goods and pirated materials
  • Wildlife and protected species
  • Undeclared cash exceeding GHC 10,000
  • Human or animal remains
  • Any item prohibited under Ghanaian law or international transport regulations

Sending prohibited items is solely the responsibility of the Customer. The Carrier is not liable for undisclosed prohibited items, provided reasonable inspection procedures are followed.

8Liability

Carrier liability begins when a parcel is accepted at the terminal or collected from a sender, and ends upon delivery to the receiver confirmed by OTP.

In cases of loss, damage, or delay caused by the Carrier:

  • Without insurance: ParcelGH will refund the Customer's service charge. The Carrier is responsible for any additional compensation agreed directly with the Customer.
  • With insurance: ParcelGH will compensate the Customer up to the declared value, capped at GHC 500, and may recover this from the Carrier where negligence is established.

Neither party is liable for delays or losses caused by force majeure events including acts of God, civil unrest, or government action.

9Intellectual Property

The Carrier grants ParcelGH a non-exclusive licence to display the Carrier's name, logo, routes, and pricing on the Platform for the purpose of facilitating bookings.

ParcelGH retains ownership of all platform software, branding, and data generated through the platform.

10Term & Termination

This agreement commences on the date the Carrier's application is approved and continues until terminated.

Either party may terminate this agreement with 30 days written notice by email.

ParcelGH may suspend or terminate a Carrier immediately and without notice if the Carrier:

  • Repeatedly fails to fulfil confirmed bookings
  • Engages in fraudulent or deceptive conduct
  • Transports prohibited items knowingly
  • Violates any applicable law or regulation

Upon termination, any outstanding earned amounts will be settled within 14 days, less any amounts owed to ParcelGH or Customers.

11Governing Law & Dispute Resolution

This agreement is governed by the laws of the Republic of Ghana.

Any disputes arising from this agreement shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation or arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).

12Amendments

ParcelGH may amend this agreement at any time by providing the Carrier with 30 days written notice via email. Continued use of the platform after the notice period constitutes acceptance of the revised terms.
